How you earn: When someone is PRESCRIBED. QUALIFIED ACTION. The term “Qualified Action” shall mean any action submitted via Brightmeds dedicated landing page that meets the following "General Guidelines”. Complete Submission: All required information on all pages must be complete, and accurate prior to submission. Affiliate ID. The appropriate Affiliate ID, as defined in tracking setup, must be associated with the submission. You will only get a commission when someone uses your affiliate link which includes your "rfsn" code you receive upon signing up. Fake Clicks. Provider understands and acknowledges that using “bots” or other automated technology (ies) in connection with generating clicks (for real or “fake” identities, as the case may be), including without limitation by submitting data, whether done by Provider or by a third party with or without Provider’s actual knowledge, constitutes a material breach of this Agreement, will not result in the payment of any Compensation. Incentivized Clicks. Provider understands and acknowledges that any Qualified Actions generated from an incentivized process, including, without limitation, a chance to win goods or services; will be deemed as fraud and ineligible for any Compensation. GENERAL PROVISIONS Governing Law. This Agreement will be governed by and construed in accordance with the domestic laws of the State of Delaware. The Parties agree to submit any disputes arising from this Agreement to final and binding arbitration in Wilmington, Delaware, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Assignment; Successors; Binding Agreement. The Provider may not assign, pledge, or encumber its interest in this Agreement or any part thereof and may not delegate its duties hereunder without written authorization by Brightmeds. Brightmeds may freely assign its rights and obligations under this Agreement without permission from the Provider. This Agreement shall be binding on and inure to the benefit of Brightmeds successors and assigns. No Waiver or Forbearance of Breach. The waiver by any Party of the breach of any provision of this Agreement shall not be deemed to be a waiver of any subsequent breach. Forbearance of any breach of this Agreement shall not constitute acceptance or approval of that breach or of any future breach, nor shall it prejudice a Party’s right to take action in response to any breach. Severability. Any provision hereof found to be invalid by courts having jurisdiction shall be invalid only with respect to such provision (and then only to the extent necessary to avoid such invalidity). The offending provision shall be modified to the maximum extent possible to confer upon the Parties the benefits intended thereby. Such provision as modified and the remaining provisions hereof shall be construed and enforced to the same effect as if such offending provision (or portion thereof) had not been contained herein, to the maximum extent possible. Modification, Amendment, and Entire Agreement. No provision of this Agreement may be modified, waived, or discharged unless such waiver, modification or discharge is agreed to in a writing signed by the Parties. Amendments to this Agreement will be effective only if done in writing and signed by the Parties. This Agreement is the entire agreement between the Parties as to the subject matter addressed. No other agreements or representations, oral or otherwise, express or implied, with respect to the subject matter hereof have been made by the Parties. Publicity. Except as set forth herein, neither Party will advertise, market or otherwise disclose to any third party any information related to the making of this Agreement, nor use the other Party’s name, trademarks or service marks in any fashion except as expressly authorized in writing by such Party in writing. Relationship of Parties. Brightmeds and Provider are independent contractors, and nothing in this Agreement will create any other relationship between the Parties including, but not limited to, any partnership, joint venture, franchise, sales representative, or employment relationship, or the relationship between principle and agent. Compliance with Law. Each Party will comply with all applicable federal, state and local statutes, laws, regulations, rules, judgments, orders, and decrees applicable to it, including without limitation, Telephone Consumer Protection Act of 1991 (the “TCPA”), the CAN-SPAM Act of 2003 and all other applicable telemarketing and anti-spam legislation issued by the relevant state or federal government. Without limitation of the foregoing, Provider hereby agrees to comply with all orders, regulations, decrees, and other requirements (collectively, “Orders”) of the Federal Trade Communication (“FTC”) and the Federal Communications Commission (“FCC”) with respect to the solicitation of consents from the general public for receipt of sales telephone calls, text messages, faxes and email communication on the residential phone numbers, wireless phone numbers, and email addresses of consumers. At no time will the Provider attempt to acquire, keep or otherwise obtain PHI (Protected Health Information) as outlined in the Health Insurance and Portability Act ("HIPAA") in association with this agreement. The Provider warrants that any PHI regarding Brightmeds customers that the Provider has or independently obtains in the future, was obtained without the knowledge, assistance or agreement of Brightmeds.
